This version adds AI-specific terms (output disclaimers, training-data rights, and a defined liability treatment for AI-assisted decisions), a confidentiality clause, an indemnification clause, and an export control clause — all now standard in SaaS and AI-SaaS agreements as of 2026. It also reflects the EU AI Act and the revised EU Product Liability Directive, both of which affect how AI software is treated from a liability perspective for EU-facing customers. Version 2.0 — supersedes the Terms dated 29 June 2026.
1. Introduction
These Terms & Conditions ("Terms") govern access to and use of the Spaask platform and website at https://spaask.com. By creating an account, starting a trial, or using Spaask, you agree to these Terms. If you do not agree, do not use the service.
Spask Ltd ("Spaask", "we", "us", or "our") provides an AI-powered all-in-one business platform for agencies, consultancies, and tradespeople, combining project management, CRM, HR, finance tracking, task management, deal management, and a roster of built-in AI agents into a single workspace.
These Terms form a binding agreement between Spaask and the person or organisation that registers for or uses the service ("you" or "Customer"). If you use Spaask on behalf of a business, you confirm that you have authority to bind that business to these Terms.
Our Privacy Policy and Data Processing Addendum ("DPA") are incorporated into these Terms by reference and explain how we handle personal data, including data processed by Spaask's AI agents.
2. Who may use Spaask
Spaask is intended for businesses, agencies, tradespeople, and their authorised staff. You must be at least 18 years old and able to enter into a legally binding contract.
You are responsible for ensuring that your use of Spaask, including any AI-generated output you rely on, complies with the laws and regulations that apply to your business and industry.
3. Accounts and workspace access
You must provide accurate registration information and keep your account credentials secure. You are responsible for all activity that occurs under your account or workspace unless caused by our failure to maintain reasonable security.
Workspace owners and administrators control invitations, roles, and permissions for their team, and must promptly remove access for users who should no longer use the workspace.
- Do not share login credentials or allow unauthorised access to your workspace.
- Notify us promptly at support@spaask.com if you suspect unauthorised access.
- We may suspend or restrict accounts that appear compromised or used in violation of these Terms.
AI agent permissions. Spaask's AI agents (Max, Eddie, Mike, Sarah, Ava, and any agent activated in your workspace) act within the same roles and permissions as the human user who configures or invokes them. An agent cannot see or act on data that the relevant workspace user is not themselves authorised to access.
4. Subscriptions, trials, and billing
Spaask may offer a free trial, Standard, and Enterprise plans. Plan features, staff limits, storage quotas, AI usage limits, and trial duration are described on our pricing pages and in-product, and may change from time to time.
Paid subscriptions are processed through Stripe-hosted checkout and billing. By subscribing, you authorise us and Stripe to charge your selected payment method on a recurring basis until you cancel in accordance with these Terms.
Unless stated otherwise, subscriptions renew automatically at the end of each billing period. You may manage payment methods, invoices, and cancellation through the Stripe Customer Portal where available.
Fees are exclusive of applicable taxes unless stated otherwise. If you cancel, you will retain access until the end of the current paid period unless we agree otherwise in writing.
Beta and preview features. We may label certain features, including new AI agents, as beta or preview. These are provided for evaluation, may have limited availability, may change or be withdrawn at any time, and are provided without the service-level commitments that apply to generally available features.
5. Acceptable use
You agree to use Spaask only for lawful business purposes and in accordance with these Terms. You must not:
- Upload, store, or transmit unlawful, infringing, harmful, or malicious content.
- Attempt to probe, scan, disrupt, or gain unauthorised access to Spaask systems or other users' data.
- Reverse engineer, copy, resell, or commercially exploit the service except as expressly permitted.
- Use Spaask to send spam, phishing messages, or unsolicited communications.
- Interfere with the proper working of the platform or impose an unreasonable load on our infrastructure.
AI-specific acceptable use
In addition to the above, you must not:
- Attempt to bypass, disable, or manipulate safeguards on Spaask's AI agents ("jailbreaking"), or induce an agent to act outside the scope of its defined role.
- Use Spaask's AI features to generate deepfakes, disinformation, or content intended to impersonate a real person without consent.
- Use outputs, prompts, or interactions with Spaask's AI agents to develop, train, or benchmark a competing AI model or product.
- Attempt to extract, reconstruct, or reverse engineer the underlying models, prompts, or training data used by Spaask's AI features.
- Use AI agents to make automated decisions with legal or similarly significant effect on an individual (e.g. final hiring or credit decisions) without the human review safeguards described in our Privacy Policy.
6. Your data and intellectual property
You retain ownership of the business data, files, documents, and content you upload or create in Spaask ("Customer Data"). You grant Spaask a limited licence to host, process, back up, and display Customer Data solely to provide and improve the service, comply with law, and support you.
Spaask, its software, branding, documentation, and underlying technology remain our intellectual property or that of our licensors. These Terms do not grant you any rights in our platform except the limited right to use it during your subscription or trial.
You are responsible for obtaining any permissions needed for Customer Data you upload, including personal data relating to your clients, staff, or contacts.
AI-generated output. As between you and Spaask, you own the AI-generated output produced within your workspace in response to your inputs (for example, a quote drafted by Eddie or a summary produced by Max), subject to the accuracy disclaimers in Section 7 and the underlying rights of any third party whose content contributed to that output. We do not claim ownership of your prompts or of AI outputs generated for your workspace.
7. AI features
7.1 Nature of the service
Spaask's core product is a set of named AI agents that draft content, summarise information, categorise data, and, where enabled, take defined actions within your workspace. AI outputs are generated probabilistically and are not guaranteed to be accurate, complete, or fit for a particular purpose.
- Review before you rely. You are responsible for reviewing and verifying any AI-generated output — including quotes, invoices, HR-related content, and financial categorisation — before acting on it or sending it to a third party.
- Not professional advice. AI outputs do not constitute legal, financial, tax, HR, or other professional advice, and should not be relied on as a substitute for advice from a qualified professional.
- Human-in-the-loop by default. Outputs affecting a client, candidate, or financial record require human review or approval before taking effect, unless your workspace administrator has explicitly enabled autonomous mode for that workflow, as described in our Privacy Policy.
7.2 Training data and model use
We do not use your Customer Data, prompts, or AI outputs to train public or general-purpose third-party AI models. Any use of aggregated, de-identified usage data to improve Spaask's own features is opt-out by default for existing workspaces and opt-in for any use that involves training a model on identifiable Customer Data. You can review or change this setting in your workspace's AI preferences at any time.
7.3 Model changes and availability
The underlying AI models that power Spaask's agents may be updated, replaced, or deprecated by us or by our infrastructure providers (including Anthropic) from time to time. Where a model change is likely to materially affect the behaviour of a feature you rely on, we will use reasonable efforts to give you at least 14 days' notice. Model changes made for security, legal, or provider-driven reasons may take effect on shorter notice.
7.4 Liability for AI outputs
To the fullest extent permitted by law, our liability for any claim arising from an AI-generated output — including inaccuracies, omissions, or reliance on that output without the review described in Section 7.1 — is limited as set out in Section 11, and is not treated as a separate, uncapped category of liability. Where an AI output is found to be materially defective due to our fault, your sole and exclusive remedy is for us to correct or regenerate the output, or, where that is not possible, a refund of the fees paid for the specific feature giving rise to the claim.
You are responsible for complying with any AI-specific laws or regulations that apply to your industry or jurisdiction (for example, sector rules on automated decision-making in recruitment or credit), including obtaining any consents needed from your own clients, candidates, or staff before using an AI agent's output in relation to them.
Where the EU AI Act or the revised EU Product Liability Directive apply to your use of Spaask, nothing in these Terms is intended to exclude liability that cannot lawfully be excluded under that legislation. We allocate responsibility for AI-related risk between the parties as set out in this Section 7 and in Section 11, to the extent the law permits.
8. Third-party integrations
Spaask can be connected to third-party services, including Stripe, accounting platforms such as Xero and QuickBooks, Open Banking providers, and other apps you authorise. Your use of any connected third-party service is governed by that provider's own terms and privacy policy, and we are not responsible for the acts, omissions, availability, or content of third-party services. You are responsible for the scopes and permissions you grant to any integration and can revoke them at any time in workspace settings.
9. Confidentiality
Each party may receive confidential, non-public information from the other ("Confidential Information"), which includes Customer Data, and, on our side, non-public information about our technology, pricing, and roadmap. Each party agrees to use the other's Confidential Information only to perform its obligations under these Terms, and to protect it using at least the same degree of care it uses for its own confidential information, and no less than reasonable care. This clause does not apply to information that is or becomes public through no fault of the receiving party, was already known to the receiving party, or must be disclosed by law, provided reasonable notice is given where legally permitted.
10. Service availability and changes
We aim to keep Spaask available and reliable, but we do not guarantee uninterrupted or error-free operation. Maintenance, updates, third-party outages, and events outside our reasonable control may cause temporary interruptions.
We may modify, add, or remove features to improve the service, maintain security, or comply with law. Where a change materially reduces core functionality of a paid plan, we will use reasonable efforts to notify workspace administrators in advance.
11. Warranties and limitation of liability
Spaask, including its AI features, is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not warrant that the service will meet every business requirement, that AI outputs will be accurate or error-free, or that all defects will be corrected immediately.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud, or for liability that cannot lawfully be excluded under the EU AI Act or the revised EU Product Liability Directive where applicable.
Subject to the paragraph above, Spaask shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity arising from your use of the service, including use of any AI feature.
Liability cap. Our total aggregate liability arising out of or relating to the service (including AI features) or these Terms shall not exceed the greater of (a) the fees paid by you to Spaask in the twelve months before the event giving rise to the claim, or (b) one hundred pounds sterling (GBP £100), except where a higher minimum is required by law.
12. Indemnification
- By you. You agree to indemnify and hold Spaask harmless from claims, damages, and reasonable costs arising from your Customer Data, your breach of these Terms, or your unlawful use of the service, including any AI-generated output you act on without the review described in Section 7.1.
- By us. We agree to indemnify and hold you harmless from third-party claims that Spaask's core software, as provided by us and used in accordance with these Terms, infringes a third party's UK intellectual property rights, subject to the liability cap in Section 11. This does not cover claims arising from Customer Data, your modifications, or your use of the service in combination with products not provided by us.
The indemnified party must give prompt written notice of any claim, allow the indemnifying party to control the defence and settlement, and provide reasonable cooperation.
13. Suspension and termination
You may stop using Spaask at any time and cancel paid subscriptions through the billing tools made available to you.
We may suspend or terminate access if you materially breach these Terms, fail to pay applicable fees, pose a security risk, or if we are required to do so by law. Where reasonable, we will notify the workspace administrator before suspension or termination.
Upon termination, your right to access the service ends. We may retain or delete Customer Data in accordance with our Privacy Policy, applicable law, and our backup and retention practices. Sections 6, 7.4, 9, 11, 12, 15, and 16 survive termination.
14. Export control and sanctions
You represent that you are not located in, and will not access or use Spaask from, a country or territory subject to UK or applicable EU/US trade sanctions, and that you are not a person or entity subject to such sanctions or on any restricted party list. You agree to comply with all applicable export control and sanctions laws in your use of Spaask, including any AI features.
15. General provisions
- Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including third-party infrastructure or AI model provider outages.
- Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
- Entire agreement. These Terms, together with our Privacy Policy, DPA, and any order form, constitute the entire agreement between you and Spaask regarding the service.
- Notices. We may provide notices under these Terms by email to your account address or in-product. You should keep your account contact details up to date.
16. Governing law and disputes
These Terms are governed by the laws of England and Wales. Before starting formal proceedings, both parties agree to attempt to resolve any dispute in good faith by contacting support@spaask.com. The courts of England and Wales shall have exclusive jurisdiction, subject to any mandatory rights you may have under applicable consumer or local law.
Our services are hosted in the United Kingdom. If you access Spaask from outside the United Kingdom, you are responsible for compliance with local laws.
